Draft — not yet reviewed by a lawyer. This covers the points Playbook 03 lists as required (limitation of liability for actions taken through the API, fair use, and the customer's responsibility for the scopes they grant), but it is a starting point written by a developer, not legal advice. Have a solicitor review it, fill in the bracketed details, and remove this notice before taking a single payment.

Terms of Service

Last updated: [DATE]. These terms apply to your use of MCP for HighLevel (the "Service"), operated by HighLevel Automation Lab, [REGISTERED ADDRESS] ("we", "us").

1. What the Service does

The Service stores connection details for your GoHighLevel sub-accounts and exposes them to Model Context Protocol ("MCP") clients such as Claude through a private URL. When an MCP client calls one of our tools, we act on your instruction and call the GoHighLevel API using the credentials you supplied.

We are an independent product. We are not affiliated with, endorsed by, or sponsored by HighLevel, Inc. or Anthropic PBC.

2. Your account

You must provide accurate information and are responsible for everything that happens under your account. You must be at least 18 and authorised to act for any business whose GoHighLevel sub-account you connect.

3. Your credentials, and the scopes you grant

You choose which permissions ("scopes") to grant the Private Integration token you give us. You are responsible for that choice. The Service can only do what your token permits, and it will do what an MCP client instructs within those permissions. If you grant write access, actions taken through the Service can create, change or send data in your GoHighLevel sub-account.

Your private link is a credential. Anyone who has it can use the connected sub-account's tools. Keep it secret. If it is exposed, delete the sub-account in your dashboard, which revokes the link immediately, and add it again.

4. Actions taken through the Service

The Service executes instructions issued by AI systems you connect. AI systems can misinterpret instructions. You accept that you are responsible for reviewing the results of automated actions, and for any messages sent, records created or changes made in your GoHighLevel sub-account through the Service.

We deliberately exclude destructive operations such as delete-contact from our toolset, but this is a design choice and not a warranty about outcomes.

5. Acceptable use

You must not use the Service to send unlawful, deceptive or unsolicited communications, to violate GoHighLevel's or Anthropic's terms, to access data you are not entitled to, or to attempt to reach another customer's data. You must not resell the Service without our written agreement.

Fair use. Plans described as unlimited are subject to fair use. We apply a rate limit of 120 requests per minute per sub-account, and a cap of 100 sub-accounts per account. If your usage materially exceeds normal patterns we will contact you before taking any action.

6. Fees and payment

One sub-account per account is provided free of charge indefinitely, limited to the read-only subset of the toolset. Additional sub-accounts, and access to the full toolset, are charged monthly at the rates on our pricing page. Payment is processed by PayPal, and their terms apply to the payment itself.

We may change which tools are included in the free tier on notice. We will not reduce the free tier for existing accounts without at least 30 days' notice by email.

Because PayPal requires payer approval for any change to a recurring amount, adding or removing a paid sub-account requires you to confirm the new amount with PayPal. A new sub-account does not become active until you do. Removing a sub-account disables it immediately, but your billed amount does not decrease until you approve the reduction.

If a payment fails, your sub-accounts continue to work for 7 days, after which they are disabled. We do not delete your stored connection details because of a failed payment.

You may cancel at any time. Cancellation stops future charges and disables your links. Fees already paid are not automatically refunded, but see our refund note on the pricing page — contact us and we will deal with it reasonably.

7. Availability

We aim for high availability but do not guarantee uninterrupted service. We may change, suspend or discontinue features. If we discontinue the Service entirely we will give at least 30 days' notice so you can migrate.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business, arising from your use of the Service — including from actions taken through the GoHighLevel API on your instruction.

Our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the fees you paid us in the 3 months before the event giving rise to the claim, or (b) USD 50.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

9. Indemnity

You agree to indemnify us against claims arising from your use of the Service in breach of these terms, or from your lack of authority over a GoHighLevel sub-account you connected.

10. Termination

You may close your account at any time. We may suspend or terminate an account that breaches these terms, with notice where practical. On termination we delete your stored connection details within 30 days.

11. Changes

We may update these terms. For material changes we will give at least 14 days' notice by email. Continuing to use the Service after that means you accept the new terms.

12. Governing law

These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction.
